Terms of Service
Effective date: 26 March 2026
Please read these Terms carefully before using Kooryr. By creating an account or using our API, you agree to be bound by these Terms.
1. About Kooryr
Kooryr is a logistics aggregation platform that connects e-commerce businesses ("Store Users") with logistics and delivery providers ("Logistics Partners"). Kooryr acts as a technology intermediary — we facilitate bookings, label generation, rate comparisons, and shipment tracking. We are not a carrier and do not physically handle goods.
2. Account Registration
- You must be at least 18 years old and legally authorised to enter into contracts on behalf of your business.
- You must provide accurate registration details and keep them up to date.
- You are responsible for all activity under your account and must keep your credentials secure.
- Each account is assigned a role at signup: Store or Logistics Partner. Role-specific features and obligations differ as described below.
- Kooryr reserves the right to suspend or terminate accounts that violate these Terms.
3. Store Users
3.1 Creating Shipments
Store Users create shipment orders through the Kooryr dashboard or API. By submitting a shipment, you confirm that the declared weight, dimensions, contents, and addresses are accurate. Kooryr is not liable for surcharges or delays caused by incorrect declarations.
3.2 Carrier Rate Selection
Kooryr displays rates from connected Logistics Partners in real time. Rates are indicative at the time of display and may change until a booking is confirmed. Kooryr does not guarantee rate availability.
3.3 Label Generation & Bookings
Once you confirm a booking, Kooryr creates the shipment with the selected Logistics Partner and returns a shipping label. Bookings are subject to the Logistics Partner's acceptance policies. Kooryr will communicate any rejection promptly.
3.4 Cancellations
Shipments may be cancelled through Kooryr before pickup, subject to the Logistics Partner's cancellation window. Post-pickup cancellations are at the Logistics Partner's discretion. Kooryr will relay cancellation requests but cannot guarantee outcomes.
3.5 Prohibited Goods
You must not ship dangerous goods, hazardous materials, illegal items, perishables requiring special handling, or any goods prohibited by the applicable Logistics Partner or applicable law. Kooryr reserves the right to cancel and report shipments found to contain prohibited items.
3.6 Integrations
By connecting a third-party platform (Shopify, WooCommerce, Amazon Seller, etc.) to Kooryr, you authorise Kooryr to read order data and write fulfilment updates using the minimum required permissions. You remain responsible for compliance with those platforms' terms of service.
4. Logistics Partners
4.1 Onboarding
Logistics Partners must complete onboarding verification including company details and service area declaration. Kooryr reserves the right to approve, suspend, or remove partners at its discretion.
4.2 Rate Publishing
Partners are responsible for the accuracy of the rates they publish through Kooryr. Rates must reflect all inclusive charges (base freight, fuel surcharge, GST) unless explicitly stated otherwise.
4.3 Service Standards
Partners agree to meet committed transit times, provide real-time tracking events to Kooryr via API or webhook, and process pickups within the agreed SLA window. Persistent SLA failures may result in rate de-prioritisation or account suspension.
4.4 Claims & Disputes
In the event of loss, damage, or misdelivery, liability rests primarily with the Logistics Partner under their own carrier liability policy. Kooryr will facilitate dispute communication but is not financially liable for goods in transit.
5. API Usage
- Each account may generate API keys for programmatic access. You are solely responsible for keeping API keys secure.
- You must not share keys publicly, embed them in client-side code, or allow unauthorised third-party access.
- Kooryr enforces rate limits per key. Excessive usage that degrades service for others may result in throttling or key revocation.
- Webhook endpoints you register must respond within 10 seconds with a 2xx status code. Kooryr retries failed deliveries up to 3 times with exponential backoff.
6. Fees & Payments
Kooryr's fee structure (platform fees, per-booking fees, or subscription tiers) will be communicated separately in your account or a signed agreement. All fees are in INR unless stated otherwise and are exclusive of applicable GST. Kooryr reserves the right to revise fees with 30 days' notice.
7. Intellectual Property
The Kooryr platform, brand, logo, API, and documentation are the intellectual property of Kooryr. You may not copy, reverse-engineer, or create derivative works. You retain ownership of your order data; you grant Kooryr a limited licence to process it to deliver the service.
8. Confidentiality
Both parties may have access to confidential business information through use of the platform (e.g. carrier rate structures, order volumes). Each party agrees not to disclose the other's confidential information to third parties without consent, except as required by law.
9. Disclaimers & Limitation of Liability
The Kooryr platform is provided "as is". While we target 99.9% uptime, we do not guarantee uninterrupted access. Kooryr is not liable for:
- Loss or damage to goods in transit (Logistics Partner liability applies)
- Carrier rate changes or surcharges applied post-booking
- Delays caused by third-party carrier outages, natural events, or regulatory holds
- Losses arising from compromised API keys under your control
To the extent permitted by law, Kooryr's total liability is limited to the fees paid by you in the 3 months preceding the claim.
10. Indemnification
You agree to indemnify and hold Kooryr harmless from any claim, loss, or penalty arising from your misuse of the platform, inaccurate shipment data, prohibited goods, or violation of these Terms.
11. Termination
Either party may terminate the agreement with 14 days' written notice. Kooryr may terminate immediately for breach of Sections 3.5, 5, or 7, or for fraudulent activity. Upon termination, your access is revoked and data retained per our Privacy Policy.
12. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
13. Changes to These Terms
We will notify users at least 14 days before material changes take effect via email and in-app notice. Continued use after the effective date constitutes acceptance.
